By accessing or using DoneLocal™ ("Service"), operated by DoneLocal ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

DoneLocal™ is an AI-powered marketing platform for local service businesses. The Service uses artificial intelligence to generate social media content, analyze competitors, identify trends, and provide marketing recommendations. The Service includes:

• AI-generated social media posts and blog content
• Competitive market scanning and analysis
• Marketing recommendations and insights
• Content scheduling and management tools
• Optional website design and management add-ons

3. AI-Generated Content Disclaimer

All content generated by DoneLocal™ is created using artificial intelligence and is provided as suggestions only. You are solely responsible for reviewing, editing, and approving all content before publishing or distributing it on any platform. We do not guarantee that AI-generated content is accurate, appropriate, original, or free from errors.

You acknowledge that:

• AI-generated content may contain inaccuracies, errors, or inappropriate language
• You must review and approve all content before use
• We are not responsible for any consequences of publishing AI-generated content
• AI-generated market analysis and competitor data may be incomplete or inaccurate
• Recommendations are suggestions and should not replace professional marketing advice

4. Beta Program

During the beta period:

• The Service is provided "as is" with no guarantees of uptime, performance, or availability
• Features may be added, modified, or removed without prior notice
• Data stored during beta may not be preserved if significant platform changes occur
• Pricing may change upon transition to general availability
• We may limit the number of users, features, or usage during beta
• Beta users may receive different pricing terms upon general availability

5. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

6. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, harassing, or violates any third party's rights
• Impersonate any person or entity
• Distribute spam or unsolicited communications
• Attempt to reverse-engineer, decompile, or access the underlying AI models or algorithms
• Use the Service to build a competing product
• Exceed reasonable usage limits or abuse the AI generation capabilities
• Scrape, harvest, or collect data from the Service through automated means

7. Intellectual Property

Your Content: You retain ownership of your business information, settings, and any content you upload to the Service. You grant us a limited license to use your content solely for the purpose of providing the Service.

AI-Generated Content: Content generated by the AI on your behalf is provided for your use. You may use AI-generated content for your business purposes. However, we make no representations regarding intellectual property rights in AI-generated content, and you assume all risk associated with its use.

Our Property: The DoneLocal™ name, logo, platform design, underlying technology, AI models, algorithms, and all related intellectual property are owned by the Company. DoneLocal™ is a trademark of the Company. Nothing in these Terms grants you any right to use our trademarks without our prior written consent.

8. Payment and Billing

Paid features are billed on a monthly subscription basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. During the beta period, special pricing or free access may be offered and can be modified at any time.

9. Data and Privacy

We collect and use your data as described in our Privacy Policy. By using the Service, you consent to our data practices. We take reasonable measures to protect your data but cannot guarantee absolute security. We do not sell your personal information to third parties.

For AI-powered features, your business information and content may be processed by third-party AI providers (including Anthropic's Claude API) subject to their respective terms and privacy policies. We do not use your content to train AI models.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your publication of AI-generated content.

12. Termination

Either party may terminate your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period for backup and legal compliance purposes.

13. Modifications to Terms

We may modify these Terms at any time by posting updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notification.

14. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in Winnebago County, Wisconsin.
